By accessing or using Prolisto (“the Service”, “we”, “us”, or “our”), operated by Prolisto at prolisto.com, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.

By creating an account - whether through email/password or a social sign-in method - you confirm that you are at least 18 years old, have read and understood these Terms, and consent to our Privacy Policy, Cookie Policy, and Acceptable Use Policy.

Prolisto is a SaaS platform that enables sellers to manage and automate pricing, repricing strategies, and listing creation for eBay and other supported marketplaces. Features include but are not limited to:

• Automated repricing rules and competitor price monitoring
• AI-assisted listing analysis and creation
• eBay and Shopify store integrations via OAuth
• Credits and subscription plans for advanced features
• Inventory management tools and analytics

The Service is provided on an “as-is” and “as-available” basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at prolisto.com if you suspect any unauthorised access to your account.

We reserve the right to refuse registration or terminate accounts at our sole discretion, including where we reasonably believe an account is being used in violation of these Terms.

Certain features require a paid subscription or the use of credits. Subscription plans and credit packages are as described on the pricing page at the time of purchase.

• Subscriptions renew automatically unless cancelled before the renewal date.
• Credits are non-refundable and expire in accordance with the plan terms.
• We reserve the right to change pricing with at least 30 days’ notice to existing subscribers.
• All fees are exclusive of applicable taxes, which you are responsible for.

If you believe a billing error has occurred, contact us within 30 days of the charge. We will investigate and, where appropriate, issue a credit or refund at our discretion.

The Service integrates with third-party platforms including eBay and Shopify. By connecting your accounts, you authorise us to access, read, and modify listing and pricing data on your behalf as required to provide the Service.

You remain solely responsible for compliance with the terms of service of any third-party platform you connect. We are not liable for any suspension, restriction, or loss of your third-party account arising from your use of Prolisto.

All content, trademarks, logos, software, and materials comprising the Service are owned by or licensed to Prolisto and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it in accordance with these Terms.

You retain ownership of any data or content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use it solely to provide and improve the Service.

The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that any specific pricing outcomes or listing improvements will be achieved. Repricing and listing strategies are automated tools and their effectiveness depends on market conditions outside our control.

To the maximum extent permitted by applicable law, Prolisto shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.

You agree to indemnify, defend, and hold harmless Prolisto and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may close your account at any time by contacting us or through the account settings. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your access immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or required by law.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

We may update these Terms from time to time. We will notify registered users of material changes by email or through a notice on the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
